Chatwork AI Features Terms of Use

These Terms of Use apply to all users ("Customers" or "you") who use AI features (the "Features") provided by kubell Co., Ltd. (the "Company") in connection with Chatwork Service (the "Service"). The list of the Features is available on the website administered by the Company. Before using the Features, Customers need to carefully read the following terms and agree to adhere to them. Any matters not provided for in these Terms shall be governed by the provisions of Chatwork's Terms of Use (the "Original Terms").

Article 1 (Use of External LLMs and Compliance Matters)

The Features are the service incorporating third-party large language models (LLMs).

Customers shall comply with the terms of service and other conditions (the "LLM Providers' Terms") set forth by the relevant companies providing LLM services ("LLM Providers") when using the Features. The Features shall not be used in a manner that violates the LLM Providers' Terms.

List of LLMs incorporated in Chatwork AI Features and LLM Providers

Article 2 (Handling of Data and Privacy)

  • The Company will collect and use, and provide to LLM Providers, any and all information you input into the Features (including, but not limited to, contents of chats and online meetings recordings at Chatwork) and AI responses for AI-powered processing in accordance with the following items:

    (1) Purpose of Use

    • Providing and maintaining the Features
      For example, the Features feed the information described in item 2 below into AI for transcription, summarization and drafting and review to support your use of the Service.
    • Improving the Features
      For example, the usage status of the Features is investigated and analyzed to improve the Features.
    • Other purposes related to any of the foregoing

    (2) Items to be Collected

    • User data: account details (such as profile), language setting, team, contact information, etc.
    • Room data: group chat name, information in the description column, room participants and their relations, etc.
    • Message data: posting date, read/unread status, posted texts and various data associated with them (e.g., bookmarks and tasks), direct messages, replies within group chats, attached files (e.g., documents and images), emojis and other reactions, message search queries, click logs for search results, etc.
    • Video call data: transcription, recordings, meeting participant information, etc.
    • Prompt data: instructions and questions input when using the Features, as well as texts, files, and other information referenced in the generation of responses;
    • Other items related to any of the foregoing

    (3) Suspension or Discontinuation of Use of Information

    If you do not use the Features, the information described in this paragraph will not be collected or used. If you wish that the collection and use of the information described in the preceding paragraph is suspended or discontinued, please suspend or discontinue the use of the Features.

  • When using LLMs, content sent to the AI will be used by companies providing LLMs under settings where it will not be used for AI model learning (such as opt-out settings).
  • You are requested to follow the information management policies of your company and exercise caution when inputting confidential information or others' personal information into the Features.

Article 3 (Intellectual Property Rights)

  • Intellectual property rights to the Features belong to the Company or its licensors.
  • Unless otherwise specified in LLM Providers' Terms, the copyright to the information you input into the Features and content you generated using the Features belongs to you (or your company), who generated the content, to the extent permitted by law.
  • The rights to your feedback and improvement suggestions given to the Company belong to the Company at no cost.

Article 4 (Prohibited Conduct)

When using the Features, Customers shall not engage in any of the following conduct:

  • Conduct that violates any laws, regulations or public order and morals, and conduct related to criminal activities;
  • Conduct that infringes any intellectual property rights, privacy rights, rights to reputation or other rights of the Company or any third party;
  • Conduct that causes the Features to generate content containing discriminatory, violent, or obscene material or other illegal or inappropriate content;
  • Conduct that places an excessive load on the Features' system or reverse-engineering and other analyses; and
  • Other conduct that the Company determines to be inappropriate.

Article 5 (Disclaimer)

  • The Company shall not be liable in any way for any damages incurred by you as a result of the use of the Features unless caused by the willful misconduct or gross negligence of the Company. In the event that the Company is liable for damages (including due to its willful misconduct or gross negligence, or by operation of law), the Company's liability for damages shall be limited to direct and ordinary damages actually incurred by you, and shall not cover any other special damages including lost profits. The amount of such damages shall not exceed the fees paid by you to the Company for the Service before such damages were incurred.
  • The content generated using the Features (including the content automatically distributed using the Features) may contain inaccurate or inappropriate information. The Company makes no warranties as to the accuracy, completeness, fitness for a particular purpose, etc. of the generated content. When you use the generated content, it is your responsibility to verify and determine the lawfulness, accuracy and appropriateness of such content. If the information you input infringes any third party's rights, you shall resolve it at your own responsibility.
  • The Company may change the details of the Features without prior notice to you, and you shall approve such changes.

Article 6 (Other Provisions)

  • Customers may not assign their rights or obligations under these Terms to a third party.
  • Any matters not provided for in these Terms shall be governed by the Original Terms. These Terms may also be amended in accordance with the procedures set forth in the Original Terms.
